MOA
Memorandum of Agreement. The binding sale and purchase contract for a yacht. The MYBA form is standard in the Mediterranean and Caribbean; the IYBA form is used in the Americas.
The MOA is signed at offer-acceptance and amended through to closing. Key clauses cover title warranties, inventory, deposit handling and escrow, condition at delivery, deficiencies remediation, governing law and jurisdiction, and the closing protocol. MYBA Memorandum of Agreement (current version 2024) is the dominant form. Independent counsel review at heads of terms is the buyer's structural protection; the form's defaults often favour the seller's broker.
